I. The Process

Five steps, in order.

The page below walks through every stage of the investor journey. Each step tells you what is required, who handles it, and roughly how long it takes, so there are no surprises.

Step One
Time · 5 minutes

Confirm you qualify to participate.

This is a private offering. To invest, you must qualify under one of two regulatory paths. Pick the one that describes you. If neither fits, this offering is not available to you at this time.

Path A

U.S. Accredited Investor

You qualify under SEC Regulation D Rule 506(c) if any one of the following is true:

  • Individual annual income above $200,000 (or $300,000 jointly with a spouse) for the past two years, with the same expected this year.
  • Net worth above $1,000,000, alone or jointly with spouse, excluding the value of your primary residence.
  • You hold a Series 7, 65, or 82 license in good standing.
  • You are an entity (LLC, corporation, trust, family office) with assets above $5,000,000.
Path B

Non-U.S. (Reg S) Investor

You qualify under SEC Regulation S if all of the following are true:

  • You are not a U.S. person as defined under Regulation S.
  • You are located outside the United States at the time you submit the questionnaire and at the time of purchase.
  • You are not acquiring the securities for the account or benefit of a U.S. person.
  • You agree to the applicable Regulation S resale restrictions during the distribution compliance period.

Step Two
Time · 10 to 15 minutes

Complete your investor questionnaire.

Select the form that matches the path you confirmed in Step One. Submission does not constitute acceptance; it begins the review process.

Path A Form

U.S. Accredited Investor Questionnaire

Captures your accreditation basis, investment experience, source of funds, and the documentation needed for third-party verification under Rule 506(c).

Path B Form

Non-U.S. (Reg S) Investor Questionnaire

Captures your non-U.S. status, residency, and the representations required under Regulation S, including the distribution compliance period and resale restrictions.

Step Three
Time · 3 to 5 business days

We verify your status.

Once your questionnaire is submitted, an independent third-party verifier reviews your eligibility. This is a requirement of Rule 506(c) for U.S. investors and standard diligence for Reg S investors. You stay in the loop the entire time.

What you may be asked for

A CPA letter, a brokerage or bank statement, a recent tax return, or a confirmation letter from your attorney. We work with you to choose the lightest option.

Who handles it

An independent accredited-investor verification service, or a qualified attorney or CPA letter, issues the formal verification. EleaTek does not handle your sensitive financials directly.

What you receive

On approval, you receive an email confirming your verified status, along with instructions for accessing the investor documents in Step Four.

Time · Self-paced

Review the investor documents.

Once verified, we send you secure access to the document set below. Take as long as you need. We strongly encourage you to share these documents with your attorney, CPA, or financial advisor before making any decision.

Step Five
Time · 1 to 3 business days

Subscribe and fund.

If you decide to invest, you complete three things. Each one is structured to be straightforward.

First

Sign the Subscription Agreement

You sign electronically. The Subscription Agreement specifies your investment amount, share count at $0.25 per share, and your representations as an investor.

Second

Wire your subscription

Wire funds to the account named in the funding instructions you receive after signing. Funds are held in escrow pending acceptance by the Company.

Third

Receive countersignature and shares

EleaTek countersigns your Subscription Agreement, your shares are recorded on the cap table, and you receive a written confirmation. You are now an EleaTek shareholder.
