Offering terms. Up to 20,000,000 Class A voting common shares at $0.25
per share; maximum offering amount $5,000,000; minimum subscription 400,000 shares per
investor. Amounts tendered by subscribers will be placed in escrow pending acceptance by
the Company. The offering will terminate on the earlier of the sale of all of the Shares
or July 5, 2027. No broker-dealer or selling agent is currently used by the Company.
